While we strive to ensure broad compatibility, we cannot guarantee that our services will function seamlessly on all browsers or devices. We are not responsible for any issues arising from incompatibilities with your browser or device. Users are encouraged to ensure their software environment aligns with our recommended specifications for the best experience.

Welcome to Two Fires Education Ltd, where we are dedicated to offering innovative and user-friendly software solutions.


Our services, including our Chrome extensions and other software products, are designed to enhance the educational experience for students and educators alike. This document, the Terms of Use ("Terms"), governs your access to and use of our services, whether accessed directly through our software, our Chrome extension, or hosted on www.twofireseducation.com. By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services. We reserve the right to update or change these Terms at any time, and your continued use of the service after we post any modifications will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms.

 

Organisational Use and Authority: If you are accepting these terms and conditions and/or registering to use our Service on behalf of a university, school, business, or any other organisation, you represent and warrant that you have the authority to bind such entity to these terms. References to “you” and “your” in these terms will then apply to both you, as an individual user, and the organisation.

User Registration and Responsibilities.

Account Creation: To access our services, users may need to create an account. When registering, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.


User Responsibilities: You are responsible for safeguarding the password you use to access our services and for any activities or actions under your password/username.  Any activity under your account is deemed to be done by you. Users are responsible for all activities that occur under their account. You must immediately notify us of any unauthorized use of your account or any other security breach. We encourage the use of "strong/complex" passwords for your account.


Rules and Restrictions: You agree to use our service only for lawful purposes. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting or searching for obscene or offensive illicit material/content, or disrupting the normal flow of dialogue within our service.
 

Breach of Contract: You agree to abide by all terms and conditions of this Agreement and any other policies or guidelines provided by us. If you the user violates the agreement. This includes potential account suspension, termination, or legal actions​​.


Changes to User Information: Users must commit to updating their registration data to maintain its accuracy and completeness. 

 

Reporting Misuse:  If you become aware/ or believe there has been any breach of security or any misuse of our service by any person, you must report it to us immediately by emailing contact@twofireseducation.com

Content and Intellectual Property Rights.

Ownership of Your Content: When you submit content to our services, you retain all your rights to it. However, by posting, you grant us a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such content solely on and through our service. This license is non-exclusive, revocable, and without any royalty obligation.


Intellectual Property of Two Fires Education Ltd: The software, including all pages, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, the "Material"), is the property of Two Fires Education Ltd and is protected by intellectual property rights and laws. Except as expressly permitted in these Terms, no part of our services and no Material may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or other medium for publication or distribution, without our express prior written consent.


Acceptable Use of the Service: You agree not to use our service to upload, post, email, transmit, or otherwise make available any content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

 

Content Monitoring and Removal: We reserve the right, but are not obligated, to monitor the content you post on our service. We have the right to remove any such information or material for any reason or no reason, including without limitation, if, in our sole opinion, such information or material violates, or may violate, any applicable law or to protect or defend our rights or property or those of any third party.

Subscription Fees and Payment Terms

Availability of Services: Our software is currently available through educational providers the DSA (Disability Student Allowance) U.K government program and selected public bodies, we are committed to providing accessible educational tools in various professional and educational environments.

Subscription Fees: The fees for our software are structured to accommodate various types of users. For DSA (Disability Student Allowance) beneficiaries, we offer yearly or three-yearly subscription options. Public bodies, educational institutions, and other organisations may receive customised pricing based on volume and specific requirements. Our pricing model is designed to be flexible to cater to the diverse needs of our user base, ensuring that our software remains accessible across different sectors. These fees cover the licensing and use of our software. For specific information and terms please see the user agreement signed by your provider.

Billing and Payment: Payment terms, including billing cycles and methods, are defined by the contractual agreements with educational institutions or the DSA program. Any changes to these terms will be communicated in accordance with those agreements.

Renewals and Cancellations: Subscription renewals and cancellations are governed by the terms of the agreement with the respective educational institution or the DSA program. Users or institutions should refer to their specific agreement for details on renewal periods, cancellation policies, and any applicable fees.

Future Availability to the General Public: While our software is not currently available for direct purchase by the general public, this may change in the future. Any updates to our distribution model and corresponding subscription terms will be announced accordingly.

Termination and Cancellation Policy.

Termination by Us: We reserve the right to terminate or suspend access to our service at any time, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms. Upon termination, your right to use the service will immediately cease.

Termination by You: You may terminate your subscription at any time through the administrative interface provided by your educational institution, public body, or the DSA program, as applicable. Specific termination procedures may be outlined in the agreement with your institution or body.

Effects of Termination: Upon termination of your subscription, you will lose access to all features and content of our service. Any data or content stored on our platform may not be retrievable, and we recommend backing up your data accordingly.

No Refund Policy: Unless otherwise stated in a separate agreement, we do not offer refunds for any subscription fees paid, including partial refunds for any period of service not used.

Limitations of Liability.

Scope of Liability: Subject to the provisions below, we shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the service. This includes, but is not limited to, data loss, loss of profits, and service interruption.

 

Maximum Liability: Our total liability to you in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total subscription fees paid by you during the twelve months immediately preceding the date on which the claim arose.

 

Statutory Rights and Exclusions: Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from our negligence, nor our liability for fraudulent misrepresentation, nor any other liability which cannot be excluded or limited under applicable UK law.

Service Provision: The service is provided "as is" and we make no warranty or representation as to its fitness for a particular purpose. While we endeavor to ensure the highest service quality, we cannot guarantee that the service will be uninterrupted or error-free.

Governing Law and Dispute Resolution.

Governing Law: These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales.

Dispute Resolution: In the event of any dispute arising from or in connection with these Terms, we strongly encourage you first to contact us directly to seek a resolution. please contact: contact@twofireseducation.com to seek an informal resolution.  If we are not able to resolve the dispute informally, we agree to resolve any claims relating to these Terms through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.

Exceptions to Agreement to Arbitrate: Any claim or dispute where mandatory arbitration is prohibited by law will be resolved in the courts of England and Wales.
 

Judicial Forum for Disputes: In the event that the agreement to arbitrate is found not to apply to you or your claim, you and Two Fires Education Ltd agree that any judicial proceedings will be brought in the courts of England and Wales, and both parties consent to venue and personal jurisdiction there.

Changes to the Terms.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
 

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorised to use the service.

General Terms. 

Assignment and Transfer of Agreement: We may assign or transfer our rights and obligations under this Agreement to another entity, but we'll inform you in writing if this happens, ensuring no adverse effect on your rights. You're not permitted to transfer your rights or obligations under this Agreement without our explicit written consent.

 

Third-Party Rights Exclusion: This Agreement does not grant any enforceable rights to third parties under the Contracts (Rights of Third Parties) Act 1999, ensuring that the agreement is strictly between you and us.

Severability of Clauses: Should any provision of this Agreement be deemed invalid, illegal, or unenforceable by a court, the remaining provisions will remain in full force and effect. This clause ensures the enduring viability of the Agreement despite potential legal challenges to specific parts.

Non-Waiver of Rights: Our failure to enforce any part of this Agreement at any time does not constitute a waiver of our right to enforce the same or any other part of the Agreement in the future. Inaction on our part at any point does not relinquish our rights under this Agreement.

Comprehensiveness of the Agreement: This Agreement, including any related order forms, Privacy Policy, and additional legal terms, represents the entire agreement and understanding between you and us. It supersedes all previous agreements or understandings, ensuring that this document is the definitive source of terms governing our relationship.

Changes and Updates to Terms: We reserve the right to modify or update these Terms. You will be notified of significant changes with reasonable advance notice, ensuring you are always informed about the terms that govern your use of our services.

Last Revision Date: These terms and conditions were last updated on 01.01.2024.

Marketing and Publicity.

Use of Your Branding for Enterprise Subscribers: If you hold an Enterprise Subscription, you consent to Two Fires Education Ltd using your organisation's name, logo, and branding for marketing and publicity purposes. This may include, but is not limited to, stating that you are a customer of ours and featuring your branding in our marketing materials, on our website, and in customer lists.

Promotional Use: We may publicly acknowledge your use of our services in our promotional and marketing materials. This includes verbal acknowledgments and displaying your name, logo, and branding.

 

Opt-Out Option: You reserve the right to revoke this consent at any time. To revoke, please send a written notice to contact@twofiireseducation.com. Upon receipt, we will discontinue the use of your branding within a reasonable period.

Third-Party Software, Services, and Components.

Use of Third-Party Components: Our service may include, utilise, or work in conjunction with third-party software, services, and components, including open-source software and components. The use of these Third-Party Components may be subject to additional license terms, terms and conditions, legal notices, and disclaimers ("Third Party Terms").

 

Compliance with Third-Party Terms: You agree to comply with any applicable Third Party Terms governing the use of such components. Where any conflict arises between these Terms and Conditions and the Third Party Terms, the latter shall prevail with respect to the relevant Third Party Component.
